Welcome to Souq-I, a marketplace platform that connects buyers and sellers. These Terms and Conditions ("Terms") govern your access to and use of the Souq-I mobile application and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using Souq-I, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Service, including buyers, sellers, and visitors.

2. Account Registration and Security

To use certain features of Souq-I, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 18 years old or have parental consent if under 18

3. User Responsibilities

As a user of Souq-I, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Comply with all applicable local, state, national, and international laws and regulations
• Respect the rights and dignity of other users
• Not engage in any fraudulent, deceptive, or harmful activities
• Not interfere with or disrupt the Service or servers connected to the Service
• Not attempt to gain unauthorized access to any part of the Service
• Not use automated systems or bots to access the Service without permission

4. Product Listings

If you post products for sale on Souq-I, you agree to:

• Provide accurate, complete, and truthful information about your products
• Include clear, high-quality images that accurately represent the product
• Set fair and reasonable prices
• Respond promptly to inquiries from potential buyers
• Honor the terms of sale as described in your listing
• Ship or deliver products as described and within the stated timeframe
• Not list prohibited items (see Section 5)
• Not misrepresent the condition, authenticity, or origin of products

All product listings are subject to review and approval by Souq-I administrators. We reserve the right to reject, remove, or request changes to any listing that violates these Terms or our policies.

5. Prohibited Items and Activities

You may not list, sell, or offer the following items on Souq-I:

• Illegal items, including drugs, weapons, stolen goods, or counterfeit products
• Items that infringe on intellectual property rights
• Hazardous materials, explosives, or toxic substances
• Live animals (except as permitted by local laws)
• Human remains or body parts
• Items that promote hate speech, violence, or discrimination
• Adult content or explicit material
• Items that violate local, state, or federal laws
• Services that are illegal or unethical
• Any item that Souq-I, in its sole discretion, deems inappropriate

6. Business Verification

Users may apply for business verification to upgrade their account. Business verification requires:

• Submission of valid business documentation
• Accurate business information (name, type, category, contact details)
• Compliance with all applicable business regulations

Souq-I reserves the right to approve or reject business verification requests at its sole discretion. Verified business accounts are subject to additional terms and may be revoked if found to violate these Terms.

7. Transactions and Payments

Buyers and sellers are responsible for:

• Negotiating the terms of sale, including price, payment method, and delivery
• Completing transactions in good faith
• Resolving disputes directly between parties
• Complying with all applicable tax laws and regulations

Souq-I is not a party to transactions between buyers and sellers. We do not process payments, hold funds, or guarantee transactions. All transactions are conducted directly between users, and Souq-I is not responsible for any disputes, losses, or damages arising from transactions.

8. User Content and Intellectual Property

You retain ownership of content you post on Souq-I, including product listings, images, and descriptions. By posting content, you grant Souq-I a worldwide, non-exclusive, royalty-free license to:

• Use, display, and distribute your content on the Service
• Modify your content as necessary to display it on the Service
• Use your content for promotional and marketing purposes

You represent and warrant that you own or have the right to use all content you post and that your content does not infringe on the rights of any third party.

9. Prohibited Conduct

You agree not to:

• Post false, misleading, or deceptive information
• Spam, harass, or abuse other users
• Circumvent or manipulate our fee structure or payment systems
• Use the Service to compete with Souq-I or build a similar service
• Reverse engineer, decompile, or disassemble any part of the Service
• Collect user information without consent
• Impersonate any person or entity
• Post content that contains viruses or malicious code

10. Content Moderation

Souq-I reserves the right to:

• Review, approve, reject, or remove any content posted on the Service
• Request changes to listings that do not meet our standards
• Suspend or terminate accounts that violate these Terms
• Take legal action against users who violate applicable laws

We may remove content or suspend accounts without prior notice if we determine, in our sole discretion, that content violates these Terms or poses a risk to users or the Service.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SOUQ-I DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SOUQ-I SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

SOUQ-I IS NOT RESPONSIBLE FOR:

• The quality, safety, or legality of items listed on the Service
• The accuracy of product descriptions or images
• The ability of sellers to complete transactions
• The ability of buyers to pay for items
• Any disputes between buyers and sellers

12. Indemnification

You agree to indemnify, defend, and hold harmless Souq-I, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Content you post on the Service

13. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, for any reason including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service or other users
• At our sole discretion

You may terminate your account at any time by contacting us or using the account deletion feature in the app settings.

14. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will notify users of material changes by posting the updated Terms in the app or by other means. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Souq-I operates, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Souq-I regarding your use of the Service and supersede all prior agreements and understandings.
